Partner Agreement

This PARTICIPANT SERVICES AGREEMENT (this “Agreement”) is by and between Trove Market (“Trove”), a 501(c)(3) organization, and (Participant), (each a “Party” and together, the “Parties”).

WHEREAS, Trove is an inclusive, accessible e-commerce platform (the “Platform”) exclusively for sellers with disabilities as self-identified under the Americans with Disabilities Act (“ADA”), to empower individuals with disabilities to generate income by selling products they create, removing barriers to traditional employment and creating a space where talent and creativity thrive;

WHEREAS, Participant wishes to participate with Trove to support its Mission by using the Platform to access its market, tools, and resources; and

WHEREAS, Trove wishes to engage with Participant by granting access to the Platform.

NOW, THEREFORE, in consideration of mutual covenants, promises and undertakings set forth herein, the Parties agree as follows:

1. Services

1.1 Trove’s Services

Trove shall provide Participant access to the Platform, business tools and seller resources including:

Access to Participant Account, Dashboard, Storefront with branding/customization tools
Exclusive training for supporting sellers with disabilities
Co-branding opportunities and promotional support
Access to analytics and market data
Marketing strategy collaboration (social posts, email templates, media outreach)

1.2 Participant’s Services

Participant shall recruit sellers, provide training, act as brand ambassador, and pay the applicable Participant Fee(s).

2. Participant Responsibilities

Maintain confidentiality of account credentials
Ensure eligibility and accurate disclosure by sellers
Primary support contact for sellers under Participant's Storefront
Promote Trove professionally and responsibly
Comply with all local and federal laws and regulations
Not circumvent, bypass, reverse-engineer, or misuse the Platform

3. Trove’s Rights

Modify services at any time
Refuse or remove any content at its discretion
Terminate abusive or inappropriate accounts
Provide services to competitors
Resolve account ownership disputes

4. Fees

Participant agrees to pay:

$10,000 annually OR
$850 monthly (if subscription-based)

Failure to pay may result in suspension or termination of services.

5. Term; Termination

This Agreement is effective for one year unless terminated with 60 days’ written notice by either Party.

6. Confidentiality

Both Parties agree to safeguard each other’s confidential information with at least the same care as their own. Disclosure only permitted with consent or by law.

7. Relationship of the Parties

Nothing in this Agreement creates an agency, joint venture, or employment relationship.

8. Non-Inducement & Exclusivity

This Agreement does not require any party to refer third parties or grant exclusivity.

9. Limitation of Liability & Indemnity

Trove is not liable for any indirect or incidental damages. Participant indemnifies Trove for legal issues resulting from Participant’s actions.

10. Intellectual Property

Participant shall not use Trove’s trademarks without permission and shall not create confusingly similar marks.

11. Privacy & Data Protection

All personal data handling is subject to Trove’s Privacy Policy.

12. Governing Law & Dispute Resolution

This Agreement is governed by Illinois law. All disputes shall be resolved via binding arbitration, with pre-arbitration informal resolution required.

13. Miscellaneous

Force Majeure: Not liable for events beyond control
Notice: Must be in writing
Recitals are part of this Agreement
Waivers must be in writing
No third-party beneficiaries
Entire agreement contained herein
Modifications only valid if signed in writing
