TROVE MARKET SELLER MEMBERSHIP AGREEMENT

Effective Date: 5th August 2025

This Trove Market Seller Membership Agreement (“Agreement”) is a binding agreement between Trove Market (“Trove”, “we”, “us”, and “our”) and the Seller (“Seller”). By creating an account, accessing, or using Trove Market to sell items, you acknowledge that you, or your guardian, have read, understood, and agree to the terms of this Agreement, our Terms of Use, our Privacy Policy, and our Prohibited Items List and agreement to follow them.

Overview

Trove Market is an inclusive digital platform to empower individuals with disabilities by removing employment barriers and creating opportunities for economic success by allowing those with disabilities to sell their handmade products on the Trove e-commerce website (the “Platform”). Trove is committed to leading in social impact and inclusivity by offering a space where creators with disabilities can thrive.

Eligibility Criteria

  • You have a Disability as that term is defined directly above and have accurately completed and submitted to Trove a Disability and Financial Disclosure Form.
  • Your disability has been truthfully disclosed in accordance with the terms set forth below.
  • You must live at or below 250% of the Federal Poverty Guidelines, which vary based on household size and are updated annually by the U.S. Department of Health and Human Services.
  • You are at least 18 years of age or have legal consent to enter into this Agreement.
  • You live and will only access the Platform within the United States.

Definition of Disability (ADA)

All Sellers on Trove must have a “Disability” as defined by the Americans with Disabilities Act (“ADA”), which is as follows:
  • A physical or mental impairment that substantially limits one or more major life activities.
  • A record of such an impairment.
  • Being regarded as having such an impairment.
Examples of disabilities that may qualify under the ADA include, but are not limited to:
  • Physical disabilities such as mobility impairments, blindness, or deafness.
  • Mental health conditions such as depression, anxiety disorders, or bipolar disorder.
  • Chronic conditions such as diabetes, epilepsy, or multiple sclerosis.
  • Intellectual or developmental disabilities such as Down syndrome or autism.
  • Sensory impairments such as hearing loss or visual impairments.

Disclosure of Disability

  • You are required to provide accurate and honest information regarding your disability as part of the application process to become a Seller on the Platform.
  • Trove reserves the right to request documentation or verification related to your disability, in compliance with privacy laws and the ADA.
  • This information is confidential and will only be used for purposes related to your eligibility and ensuring Trove remains an inclusive marketplace for individuals with disabilities.

Disclosure of Financial State

Sellers must self-attest that they are living at or below 250% of the Federal Poverty Guidelines. These criteria help ensure that the Market uplifts and empowers individuals who face both economic and physical or mental barriers to traditional employment. During the registration process, sellers will be asked to confirm their eligibility by completing the Disability and Financial Disclosure Form. In some cases, we may request documentation to verify eligibility.

Commitment to Inclusivity

  • Trove Market exists to serve individuals with disabilities, fostering an environment where they can succeed economically without facing barriers.
  • Non-disabled individuals, as defined by the ADA, are not eligible to sell on Trove Market.
  • Sellers who are found to have falsely claimed a disability or provided misleading information will have their seller account terminated and may face legal consequences.

Agreement to Seller Terms of Use

As a Seller, you are central to providing each of your Buyers with a trustworthy experience on the Platform. This Agreement is designed to outline your rights and responsibilities and is part of our Terms of Use. Sellers are responsible for reviewing and abiding by these terms and conditions of this Agreement and our Terms of Use. Violating this Agreement or our Terms of Use may result in restrictions to your account, up to and including termination, and may be made at Trove’s sole and absolute discretion. As such, you agree to the following:
  • You agree to abide by any rules regarding prohibited transactions or items as further set forth in the Prohibited Items Policy, including but not limited to the sale of illegal, harmful, or restricted goods as outlined in Trove’s Platform policies.
  • Any violation of this Agreement or engagement in prohibited transactions may result in immediate suspension or termination of your account.

What May be Sold on Trove

We believe that every item on Trove should reflect the creativity of our community. Items on Trove represent a range of creative endeavors, from hand-craft items to digital art. All items must incorporate a human touch as outlined by the categories below.

Made by a Seller

Physical items made by a seller by hand or using personal or computerized tools.
  • Handcrafted items: Items crafted entirely by hand (including using handheld or hand-guided tools like a sewing machine or table saw), from raw or basic craft materials. For example, pottery, wood crafts.
  • Hand altered items: Commercially available base items that a seller altered using specialized handcrafting skills. For example, hand-embroidering initials onto a sweatshirt, upcycling a piece of furniture.
  • Hand assembled items: Commercially available supplies or components that a seller attached together or combined by hand to create a unique end-product. For example, using jewelry-making tools to attach charms to a necklace chain; sewing patches onto a denim jacket.
  • Items produced using computerized tools: Physical items that a seller produced in their personal shop or home, using computerized tools such as a laser printer, 3D printer, CNC or Cricut machine. These items may be produced based on a seller’s original design, or using a templated design or pattern, and are often personalized or customized to a buyer’s specification. For example, clothing embroidered by a seller using a computerized embroidery machine; tumblers decorated with vinyl stickers printed by a Cricut machine; wedding invitations designed by a seller using software and printed onto stationery using a laser printer.
The following are examples of items that do not qualify as “made by a Seller”:
  • An item assembled by a seller per the manufacturer’s instructions, e.g. furniture or a Lego set.
  • Adding simple, stick-on adornments (such as a commercially available sticker, stamp, or rhinestone) to a commercially available base item.
  • Listings for items ‘made by a seller’ must use original photo or video content of the final product. When listing personalized or custom items such as monogrammed or engraved accessories, your first image must show a finished, customized item rather than the blank product or placeholder text, e.g. “Your Text Here”. See Listing Image Requirements for more information.

Designed by Seller

Sellers’ original designs that are produced or printed by a third party or offered as a digital download.
  • Digital downloads of Sellers’ original designs: Original content created by the seller, sold as a digital download. For example, a digital file of a seller’s unique graphic design, audio, text document, or scanned copy of physical artwork.
  • Sellers’ original designs produced by a production partner: Original designs created by a Seller and produced with the assistance of a production partner. Sellers must disclose that an item is made by a production partner, and provide accurate information about where the item will ship from. For example, unique dress designed by a seller and reproduced at scale by a production partner; a coloring book designed and illustrated by a seller and printed and bound by a production partner; a graphic logo created by a seller and printed onto a phone case by a third-party printer.
  • Seller-prompted AI creations: Creations that were generated using AI tools (e.g. AI image generators such as Dall-E) based on a seller’s original prompts. Sellers must disclose within their listing description if an item is created with the use of AI. For example, a custom portrait of a buyer’s pet generated using AI tools.
The following are examples of items that do not qualify as ‘designed by a seller’:
  • Selling a bundle, collection, scan, or PDF of someone else’s work as a digital download, except in the case of qualifying vintage items (see “Handpicked by a Seller”).
  • Using a pre-existing design or choosing from a production partner’s readymade templates, except in the case of items personalized by a buyer (see “Sourced by a Seller”).

Prohibited Items Policy

Trove Market prohibits the listing or sale of any item that is described in our Prohibited Items Policy, including items that are illegal to sell or violate the rights of third parties such as counterfeit, illegal, hazardous, or restricted items. This includes, but is not limited to:
  • Weapons and firearms.
  • Illegal substances.
  • Stolen goods.
  • Counterfeit goods.
  • Items that violate intellectual property rights.
If after reviewing an item, we have concerns about its authenticity or that it otherwise constitutes a prohibited item, we may, in our sole discretion, cancel the order. In such cases, we will provide a refund for the full cost of the item and any accompanying shipping costs to the Buyer. Such refund will be the Buyer’s sole remedy for the canceled order. Sellers will not receive earnings from orders canceled in accordance with this Section. Sellers acknowledge and agree that if such items are in the possession of Trove, Trove may determine, in its sole discretion, whether to return, retain, destroy, or otherwise dispose of such canceled item. If such items are returned to Seller, Seller agrees not to attempt to relist or resell the item through the Service.
A violation may result in immediate suspension or termination of seller privileges.

Listing and Selling

  • You are responsible for accurately listing and describing the products and services you offer. Including, to the extent you upload pictures or images of products for sale through the Services such images are true and accurately represent the product for sale.
  • Sellers must comply with all applicable laws and Trove’s policies regarding prohibited items and transactions.
  • Trove Market reserves the right to remove listings that violate our policies or are deemed inappropriate for the Services.

Image Requirements

When listing products for sale, you are required to accurately describe and use original photos of the actual product buyers will receive, not renderings or stock photos, except in situations where the product is custom or personalized, in which case a photo of a sample of the actual product may be used (“Your Content”). Photos should be taken to showcase the finished product, as it is imperative that you accurately depict their wares, including the quality, condition, size, color scheme, and quantity of the item for sale in order to build trust with buyers.
  1. Responsibility for Your Content. You understand that you are solely responsible for Your Content. You represent that you have all necessary rights to all parts of Your Content and that you’re not infringing or violating any third party’s rights by posting it.
  2. Permission to Use Your Content. By posting Your Content through our Services, you grant Trove and, as authorized by Trove in its sole discretion, third parties, a license to use it. We don’t claim any ownership to Your Content, but we have your permission to use it to help Trove function and grow. That way, we won’t infringe any rights you have in Your Content and we can help promote it. For example, you acknowledge and agree Trove may offer you or Trove buyers promotions on the Site, from time to time, that may relate to your listings or other listings on Trove.
  3. Rights You Grant Trove. By posting Your Content, you grant Trove and, as authorized by Trove in its sole discretion, third parties, a non-exclusive, worldwide, royalty-free, irrevocable, sub-licensable, perpetual license to use, display, edit, modify, reproduce, distribute, store, and prepare derivative works of Your Content. This allows us to provide the Services and to promote Trove, your Trove shop, other shops and listings, or the Services in general, in any formats and through any channels, including across any Trove Services, our partners, or third-party website or advertising medium. You agree not to assert any moral rights or rights of publicity against us for using Your Content. You also recognize our legitimate interest in using it, in accordance with the scope of this license, to the extent Your Content contains any personal information.
  4. Reporting Unauthorized Content. Trove has great respect for intellectual property rights, and is committed to following appropriate legal procedures to remove infringing content from the Services. If content that you own or have rights to has been posted to the Services without your permission and you want it removed, please contact us. If Your Content is alleged to infringe another person’s intellectual property, we will take appropriate action, such as disabling it if we receive a report of infringement that complies with our policies, or terminating your account if you are found to be a repeat infringer. We’ll notify you if any of that happens.
  5. Inappropriate, False, or Misleading Content. If there are certain types of content we don’t want posted on Trove’s Services (for legal reasons or otherwise). You agree that you will not post any content that is abusive, threatening, defamatory, obscene, vulgar, or otherwise offensive or in violation of our Prohibited Items Policy or any part of our Terms. You also agree not to post any content that is false and misleading or uses the Services in a manner that is fraudulent or deceptive.
  6. Personalized and Customized Items. For personalized or customized items, e.g. custom drawings, monogrammed accessories, or t-shirts featuring a buyer’s custom text), it is recommended that the first image you display be of a finished, customized item similar to what a buyer will receive. This will help buyers visualize what their custom-made item will look like when completed. If possible, please try to avoid using a blank product or a mockup with placeholder text (e.g. “Your Text Here”) as the main image. Computer-generated mockups may be used in additional listing images to showcase customization options.
  7. Using Buyer Reviews. In the event you would like to use a buyer’s review photo in your listing, you will need to first reach out to the buyer to obtain the buyer’s permission as the buyer has the copyright to that photo.

Order Fulfillment

Once a Buyer agrees to purchase any item you have listed for sale, and you have accepted the sale transition, you must fulfil the sale.

Fee Policy

It is always free to list an item for sale on Trove. You will determine the price for your items, including the shipping costs and list that price in your item listing in U.S. dollars. While a Buyer is responsible for paying any and all shipping costs, it is up to you as the Seller to determine what that cost will be and include that in the listing price. Buyer is responsible for all shipping charges unless the Seller explicitly agrees to cover the shipping costs during the checkout process or through mutual agreement. Shipping fees must be accurately reflected in the final purchase price. If you agree with a Buyer to pay for shipping, this agreement must be documented through the Services’ messaging system to prevent disputes.
Trove offers competitive transaction fees to ensure the platform is accessible and supportive of sellers with disabilities. After your item sells, we deduct a small fee from the final order price. Please note that actual earnings will vary based on the final order price, Seller discounts, fees paid, and any other applicable taxes and discounts. Trove may adjust fees at any time with prior notice.
Sellers found in violation of this Agreement by attempting to exploit the platform’s reduced fees without meeting eligibility requirements will be banned from Trove and may be subject to fee recovery.

Purchases

Buyers may accept the price offered by a Seller and purchase the item, or Buyers may make an offer to Sellers to purchase items from Sellers. Once an offer has been accepted by the Seller, it will be considered a purchase and a binding contract between the Buyer and Seller. The contract to purchase will be solely between Buyer and Seller, and Trove will not be a party to such contract.
Upon purchasing an item, a Buyer must remit payment to Trove for the item, including any listed shipping or additional fees.
Trove may delay or cancel any purchase for purposes of fraud detection or to protect users from other illegal or wrongful activities. All purchases are final with no returns, refunds, cancellations, or retractions allowed, except where (i) Trove cancels the purchase or the purchase has otherwise been canceled when explicitly permitted by Trove or, if applicable, a Seller; or (ii) the listing expressly indicated the availability of returns.

Payments

Buyers may pay for Items only by using payment methods approved by Trove, and Trove will receive such payment from the Buyer on behalf of the Seller. Trove reserves the right to request additional information from users for the purposes of completing any transactions, identity verification, fraud prevention, and any other regulatory and compliance purposes. Funds received by Trove from a transaction may, subject to the Fee Policy be redeemed by Seller through Trove’s permitted third-party payment provider(s) or used by the Seller to purchase items listed by other Sellers through the Services.

Taxes

Transactions conducted through the Services may be subject to taxes in your jurisdiction, which Trove will collect from Buyers on behalf of Sellers where legally obligated to do so. In the event Trove collects taxes as legally obligated, Trove will remit such taxes to applicable taxing authorities on behalf of Sellers. The listed prices for items do not include taxes, but the taxes will be displayed before a Buyer confirms the purchase. Taxes may be estimated based on offers made on items but remain subject to change if the final sale price differs from the original offer. Taxes are based on several factors, including price, location, and state, local, federal, or other applicable rates at time of purchase. Although we may assess estimated taxes upon purchase or sale, you will be ultimately responsible for the verification and reporting of any and all applicable taxes to the appropriate tax authorities, including instances where Trove does not collect taxes on your behalf.

Shipping

Buyers are responsible for paying any and all shipping fee, which you must provide for in the listing. If you fail to include a shipping fee in the listing price, you will be responsible for paying for the shipping costs since the Buyer had no prior notice of the shipping price and ability to agree to that price.
Seller will be fully responsible for contents of shipment and must comply with the Terms, including Prohibited Items Policy and terms and conditions of the shipping carrier. For any avoidance of a doubt, User is responsible to ship in compliance with USPS Publication 52 - Hazardous, Restricted, and Perishable Mail.
Seller must ship the item(s) to the Buyer within seven (7) days from the date the order was purchased (as verified by an active shipping carrier scan). If Seller does not ship the item(s) within this timeframe, Buyer can cancel the order, and Trove will notify the Seller not to proceed with shipment.
Seller must ship the item(s) to the Buyer via FedEx, UPS, USPS, or DHL (a “Trove Carrier”), with any necessary insurance, and obtain a tracking number. Shipping is limited to the United States.
Buyers and Sellers must maintain an accurate and up to date ship to / ship from address with Trove. Trove reserves the right to charge a User additional fees if a user does not meet any of these obligations.
Buyer must report any post-delivery (defined as delivery scan is present as determined by the carrier tracking information) issues (including, but not limited to unable to locate shipment, undisclosed damage, Incorrect or missing item, Item not as described, Item is not authentic) to Trove within three (3) days after the date of delivery scan. Once Buyer confirms receipt and acceptance of Item(s) (acceptance can occur either by Buyer affirmatively notifying Trove or by taking no action within three (3) days of the date of delivery), Trove will credit Seller’s account with an amount equal to purchase price, excluding taxes, and any applicable fees (the “Funds”) set forth in our Fee Policy.
Trove is not liable for damages due to improper or inadequate packaging by Seller.
Please note, we cannot and do not guarantee shipping times or choice of carriers. While most Trover Carriers offer shipping with an estimated transit time of 3 days, Trove is not responsible for delivery issues, including but not limited to carrier delays, which may be caused by a number of factors, such as weather.

Enforcement and Penalties

  • Trove reserves the right to enforce the terms of this Agreement at its sole discretion to maintain the integrity of its mission and commitment to inclusivity.
  • Failure to comply with these terms, including but not limited to providing false information regarding disability status or violating the Terms of Use, will result in immediate termination of Seller privileges.
  • Trove may take legal action, if necessary, to address violations of this Agreement.

Rights and Responsibilities of Trove Market

  • Trove reserves the right to periodically review the Seller’s compliance with the eligibility requirements.
  • Trove will maintain confidentiality regarding the Sellers disability status but may be required to disclose such information to third parties in compliance with the law.
  • Trove is committed to maintaining a marketplace where individuals with disabilities are provided opportunities to grow and succeed.

Amendments

We may update the terms of this Agreement from time to time, including by adding entirely new terms and deleting existing terms. We will let you know in advance by posting the changes through the Services and/or sending you an email or message about the changes. Your use of the Services after the effective date of the changes constitutes your acceptance of the updated Agreement. If you do not agree with the changes, you may close your account.

Termination

Termination is governed by our Termination policy in the Terms of Use.

Legal Compliance

  • This Agreement is governed by the laws of [insert state] in which Trove is headquartered, without regard to its conflict of law principles. Any legal actions arising out of or related to these Terms must be brought exclusively in the state or federal courts located within that jurisdiction.
  • The Seller agrees to comply with all applicable laws, regulations, and platform policies while conducting business on Trove. Any legal actions arising out of or related to this Agreement must be brought exclusively in the state or federal courts located within that jurisdiction and is subject to our Dispute Resolution and Binding Arbitration Policy / Arbitration Agreement.

Severability and No Waiver

The unenforceability of any provision of this Agreement will not, except as stated in the Dispute Resolutions and Binding Arbitration Section affect the enforceability of any other provision. If any provision is found to be void, invalid, or unenforceable, then it, except as stated in the Dispute Resolutions and Binding Arbitration Section will be revised and interpreted to accomplish the objectives of such provision to the extent possible under applicable law, and the remaining provisions will continue in full force and effect. Our non-enforcement of any provision of this Agreement or right under applicable law will not be construed as our waiver of any enforcement rights under the same or different circumstances at any time in the future. We reserve all rights under applicable law.

Headings and Interpretation

The headings and sub-headings in this Agreement are included for reference purposes only and will not affect the meaning or interpretation of this Agreement in any way. The words “include,” “includes,” or “including” will be deemed to be followed by “without limitation.” This Agreement will be construed without regard to any presumption or rule requiring construction or interpretation against the drafting party.

Terms Specific to Your Geographic Location

If you are a User in California, then certain provisions apply with regard to applicable laws. Notwithstanding anything to the contrary in the Agreement, the following takes precedence with respect to users in California.

California Civil Code

Under California Civil Code Section 1789.3, users from California are entitled to the following specific consumer rights notice: The Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs may be contacted in writing at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by telephone at (916) 445-1254 or (800) 952-5210.
